KC Engineering Services Ltd. – Terms & Conditions

These summarised Terms and Conditions (T&Cs) apply to all quotations, orders, and contracts between KC Engineering Services Ltd. (‘the Supplier’) and its customers (‘the Client’). By placing an order or accepting a quotation, the Client agrees to these T&Cs, which take precedence over any terms provided by the Client unless agreed otherwise in writing.

1. General

All goods and services are provided by KC Engineering Services Ltd. in accordance with these Terms and Conditions.
These terms apply to business-to-business (B2B) transactions only. Any deviation must be confirmed in writing by the Supplier.

2. Quotations and Orders

All quotations are provided in GBP and are valid for three (3) months from the date of issue, unless otherwise stated.
Acceptance of a quotation constitutes acceptance of these Terms and Conditions.
The Supplier reserves the right to withdraw or amend any quotation prior to acceptance.

3. Pricing and Payment

All prices are exclusive of VAT unless otherwise stated. Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
The Supplier reserves the right to withhold delivery or cease work in the event of non-payment.
Interest and recovery costs may be charged on overdue balances under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Delivery and Installation

Delivery dates are estimates only and subject to confirmation (TBC).
The Supplier may use third-party carriers or subcontractors for delivery and/or installation.
The Supplier is not liable for delays, loss, or damage caused by third parties.
Risk in the goods passes to the Client upon delivery or installation, whichever occurs first.

5. Ownership of Goods

Ownership of all materials, machinery, and products supplied remains with KC Engineering Services Ltd. until payment has been received in full.
Until ownership passes, the Client shall store goods safely and ensure they are clearly identified as the property of the Supplier.

6. Cancellations

Orders may not be cancelled without the written consent of the Supplier.
Where cancellation is accepted, the Client shall be liable for all costs incurred up to the date of cancellation, including materials, labour, and administration costs.
Custom-fabricated or special-order items cannot be cancelled or refunded once production has commenced. Detailed cancellation terms are available on request.

7. Liability

The Supplier shall not be liable for any indirect, consequential, or incidental losses, including loss of profit or business interruption, arising from delay, defect, or failure in performance.
The Supplier’s total liability shall not exceed the value of the contract. Nothing in these terms shall limit liability for death or personal injury caused by negligence.

8. Force Majeure

The Supplier shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to industrial disputes, acts of God, transport disruption, internal site disturbance/restrications or supplier failure.

9. Confidentiality

Both parties agree to treat all technical and commercial information shared during the project as confidential and not disclose it to any third party without prior written consent, except where disclosure is reasonably required for the purposes of delivering the project, including sharing with employees, contractors, or subcontractors who are bound by appropriate confidentiality obligations.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
